The agreement between you and Vercity when you place an order or accept work.

Vercity operates a fixed-price marketplace for video editing and photography services in Lebanon at vercity.online (the "Platform").
These Terms of Service govern all access to and use of the Platform. By creating an account, placing an order or accepting work, you agree to be bound by them. If you do not agree, you must not use the Platform.
The Acceptable Use Policy, the Refund and Review Policy, the Privacy Policy and the Cookie Notice form part of these Terms. Where you are accepted to perform work, the Talent Terms also apply.
"Client" means an account holder who places an Order.
"Talent" means an editor, photographer or courier accepted by Vercity to perform work.
"Order" means a request for services placed through the Platform at a published price.
"Tier" means a published service level, each with a fixed price and a defined standard.
"Delivery" means the finished work made available to the Client through the Platform.
"Source Material" means footage, images, audio, text and other material a Client submits for an Order.
You must be at least 18 years of age to hold an account. Use of the Platform involves entering into a contract and, for Talent, receiving payment for work.
We collect your date of birth at registration and confirm it within the account. Where we establish that an account holder is under 18, we will close the account. Amounts already due for work already delivered remain payable.
You must provide accurate registration information and keep it up to date.
Each Tier has a single published price in United States dollars. That price is fixed and is not subject to negotiation by the Client, the Talent or Vercity personnel.
Any request that you pay an amount other than the published price, or that you pay outside the Platform, is not authorised by Vercity. You should report it to us immediately.
Talent are paid a fixed fee per Tier, set by Vercity and disclosed to them before they accept an Order. Clients are not shown Talent fees and Talent are not shown Client pricing.
Orders are payable in advance. Work is dispatched only once payment has been confirmed.
Payment is accepted by Whish transfer and, where offered, in cash to our courier on collection. Card payment is not currently available. When card payment is introduced, card details will be entered on the payment provider's own secure page and will not be submitted to or stored by Vercity at any point.
Where Source Material collected by our courier needs more storage than an Order includes, additional storage may be purchased. Its price is shown before you accept it, and nothing is owed for storage you decline.
Vercity will never request your card number, your PIN or your online banking credentials, by any means. Any such request is fraudulent and should be reported to us.
We undertake to make Delivery within 24 hours of receiving the Source Material for an Order. The period runs from receipt of the Source Material and not from the time the Order is placed. Where Source Material is provided late, the delivery period begins correspondingly later.
Delivery is made within your account. You may view the work on Delivery. Submission of a rating is required before the final file becomes available for download, so that each Order carries a completed record.
Delivered files remain available for download for three days following Delivery, after which they are removed from our systems. You are responsible for retaining your own copy. Where the download period is missed, you may request restoration once, and the assigned Talent will be given seven days to resupply the files.
Where you consider that a Delivery has not met the published standard of the Tier ordered, you may reject it through your account and must state your reasons.
A review committee assesses the Delivery against the published standard for that Tier. Where the Delivery did not meet that standard, you will receive a full refund. Where it met the standard, the Order stands. We will give reasons for the decision in either case.
A refund returns the amount paid. It does not confer any right to retain, use or publish the rejected work.
The Refund and Review Policy sets out the procedure, the timescales and the appeal route in full.
Clients and Talent are anonymous to one another. Neither party is given the other's identity or contact information, and neither may seek it.
You must not disclose or attempt to obtain identifying or contact information, and must not solicit or accept any arrangement to conduct an Order, or to make or receive payment, outside the Platform.
Payment protection, the delivery commitment, the refund route and access to the review committee apply only to work contracted and completed through the Platform. Work conducted outside it carries none of them, for either party.
Content submitted to the Platform is screened before it is published or passed to the other party, and material that breaches this clause will be rejected. Repeated breaches may result in suspension or closure of your account.
Accounts are personal to the holder and may not be shared or transferred. You are responsible for maintaining the confidentiality of your credentials and for activity carried out under your account.
Two-factor authentication is available to all account holders and we recommend enabling it. It is mandatory for Talent accounts, as set out in the Talent Terms.
You may close your account from Settings at any time. Closure ends access immediately. Order and payment records are retained after closure to the extent set out in the Privacy Policy, because we are required to be able to account for payments made and received.
You must not submit material in which you do not hold the necessary rights, and must not submit unlawful material. The Acceptable Use Policy sets out what is prohibited.
You retain ownership of your Source Material. You grant Vercity a limited, non-exclusive licence to store it, to make it available to the Talent assigned to your Order, and to produce and deliver the finished work to you.
On payment and Delivery, the finished work belongs to the Client. Talent may not retain, reuse, resell, publish or display a Client's Source Material or finished work, including as portfolio material, without the Client's written permission.
Vercity may display a Delivery as an example of what Vercity produces, on the Platform and on Vercity's own social media accounts, and may state the Tier it was produced under.
When we do so we will not identify you, identify your business, display any material you have marked private, or display anything before it has been delivered and paid for.
You may withdraw this permission at any time, before or after Delivery, by writing to privacy@vercity.online. On receipt we will cease using the material and remove anything already published. Withdrawing permission has no effect on your Order, your price, your delivery time or your priority.
For a Client's first Order, we will seek permission before publishing regardless of whether permission has been withheld.
Editors, photographers and couriers engage with Vercity as independent contractors and not as employees. They decide whether to accept each Order offered to them.
Nothing in these Terms creates a relationship of employment, partnership, agency or exclusivity. The Talent Terms govern fees, clearance and payment.
We will take reasonable care to keep the Platform available, but we do not warrant that it will be uninterrupted or error free.
Vercity is not liable for indirect or consequential loss, including loss of profit, loss of opportunity, or losses arising from late Delivery beyond the value of the Order concerned.
Our total liability in respect of an Order is limited to the amount paid for that Order.
Nothing in these Terms excludes or limits any right or remedy available to you under Lebanese law that may not lawfully be excluded or limited.
We may suspend or close an account where the account holder breaches these Terms or the Acceptable Use Policy, attempts fraud, abuses Vercity personnel, Talent or Clients, or attempts to conduct Orders or payment outside the Platform.
Where we are able to give reasons for a decision, we will.
If you consider that a decision concerning your account was incorrect, you may write to appeals@vercity.online. The matter will be reviewed by a person.
Where we make a change to these Terms that affects you, we will give notice within the Platform and by email before the change takes effect. Continued use of the Platform after that date constitutes acceptance of the revised Terms.
The date at the foot of this document is the date of the current version.
These Terms are governed by the laws of Lebanon, and the courts of Beirut have exclusive jurisdiction.
